Article 1 (Application)
- These Terms of Service (the "Terms") set forth the conditions for use of "Oshi Ad" (the "Service") provided by Curio Inc. (the "Company").
- All users of the Service (the "Users") are deemed to have agreed to these Terms.
- These Terms apply to all relationships between Users and the Company relating to use of the Service.
- In addition to these Terms, the Company's separately established Privacy Policy applies to the handling of personal information.
Article 2 (Definitions)
The terms used in these Terms have the following meanings.
- "Service" means the fan-support advertising platform "Oshi Ad" operated by the Company. The Service provides two functions: advertising-space purchases and crowdfunding.
- "User" means any person who uses the Service, including both persons who browse Projects without registering and persons who have registered.
- "Member" means a User who has registered for the Service.
- "Organizer" means a Member who creates a Project on the Service and solicits Support.
- "Supporter" means a User, whether a Member or an unregistered guest, who provides Support to a Project on the Service.
- "Project" means a fan-support advertising plan created by an Organizer on the Service and the related fundraising activity.
- "Support Funds" means money paid by a Supporter to a Project.
- "Target Amount" means the fundraising target set by an Organizer for a Project.
- "Username" means the name set by a Member and displayed publicly on the Service.
- "Advertising Space" means a placement slot for fan-support advertising listed on the Service and available for individual purchase.
- "Advertising-Space Purchaser" means a Member who purchases Advertising Space on the Service.
- "Advertising-Space Purchase Price" means the total amount paid when purchasing Advertising Space, consisting of the pre-tax price of the Advertising Space, consumption tax, and the system usage fee.
Article 3 (Membership Registration)
- Membership registration is required to create a Project, post a support comment, add a Project to favorites, or provide Support as a Member. A guest User may browse Projects and provide guest Support without registering.
- Registration requires an email address, password, and Username. Members must provide accurate information.
- The Company may reject registration if the submitted information is false or if the applicant has previously violated applicable terms.
- A Member may update registration information such as the Username, profile, and profile image through the profile-editing function. Changes to an email address or password must be made by the method designated by the Company.
Article 4 (Account Management)
- Members must manage their account information at their own responsibility.
- The Company assumes no liability for damage arising from unauthorized use by a third party.
Article 5 (Withdrawal)
- A Member may apply to withdraw through the inquiry form designated by the Company only if the Member has no ongoing Project as an Organizer or Supporter and no Advertising-Space purchase in progress.
- Upon receiving an application under the preceding paragraph, the Company will delete the Member's account in accordance with its prescribed procedures.
- After withdrawal, the Member can no longer log in to the Service or use Member functions. However, records and public information relating to previously supported Projects, including the Username, Support amount, and support comments, will remain displayed on the relevant Project pages.
- Even after account deletion, transaction records will be retained for a certain period in accordance with the Company's record-retention obligations and applicable laws.
Article 6 (Service Description and the Company's Role)
- The Service is a fan-support advertising platform providing two functions—Advertising-Space purchases and crowdfunding—to enable fans to place support advertisements for artists and others.
- The Company acts as an intermediary between Organizers and Supporters and does not guarantee the success of any Project or the quality, content, legality, or other characteristics of any advertisement implemented through a Project.
- Advertising-Space purchases are provided by the Company to Members in its capacity as the seller of the Advertising Space. The Company does not guarantee the content, quality, or effectiveness of any advertisement.
Article 6-2 (Suspension and Modification of the Service)
- The Company may suspend all or part of the Service without prior notice in any of the following circumstances:
- (1) when maintenance, inspection, repair, or similar work is performed on the system;
- (2) when provision of the Service is difficult due to force majeure, including natural disasters; or
- (3) when the Company otherwise determines that suspension is necessary.
- The Company may modify, add to, or discontinue the Service. For material changes, the Company will endeavor to provide advance notice.
- The Company assumes no liability for damage arising from any suspension, modification, or other action under the preceding paragraphs.
Article 7 (Types of Projects and Receipt of Support Funds)
The Service offers the following two types of Projects.
- All or Nothing: The Project is established only if the Target Amount is reached during the fundraising period.
- All In: The Project will be carried out regardless of whether the Target Amount is reached. This option is available only when permission from the relevant agency or rights holder has already been obtained.
The Organizer agrees that the Company may receive and manage Support Funds paid by Supporters. When the Company receives the Support Funds, the Supporter's payment obligation to the Organizer in respect of those Support Funds is discharged.
Support Funds will be applied to advertising placement fees and other costs necessary to carry out the Project and will be paid or settled by the method prescribed by the Company. Organizers and Supporters acknowledge in advance that no bank transfer or other remittance to the Organizer may occur.
Article 8 (Creation of Projects)
- When creating a Project, the Organizer must accurately enter and disclose the following information:
- (1) Project title, Project description, and plan details;
- (2) Target Amount and fundraising end date;
- (3) Project type (All or Nothing or All In);
- (4) whether a designer has been appointed and the status of permission from the relevant agency or rights holder; and
- (5) Project image (optional).
- The Organizer may request the Company or a third party designated by the Company to produce designs or create images.
- Once a Project has been created, it may not be canceled for the Organizer's convenience.
- If the Company determines that a Project or proposed publication is inappropriate, violates laws, public order and morals, or these Terms, infringes or may infringe the rights of a third party, the Company may suspend publication, request revisions, delete the Project, or take any other necessary action.
- When a Project is established—upon reaching the Target Amount for an All or Nothing Project or upon the end of the fundraising period for an All In Project—the Organizer must respond in good faith to emails and other communications from the Company, must not neglect communications required to advance the Project, and is obligated to carry out the Project.
- If the Organizer breaches the preceding obligation and remains unreachable for at least one week despite reasonable attempts by the Company to make contact, the Company may issue a final notice and, if there is still no response, assume authority to advance the Project and proceed at its discretion without the Organizer's consent. In such case, the Organizer may not object to the Company's decisions or handling of the Project.
Article 9 (Support, Payment, and Cancellation)
- A Supporter may provide Support as a Member or as a guest User. For guest Support, the Supporter must enter an email address and name and may choose to provide Support anonymously.
- Supporters must pay Support Funds using the payment method designated by the Company (credit card).
- Payments on the Service are processed using Stripe Payments ("Stripe"). Supporters must make payments in accordance with Stripe's terms and the procedures specified by the Company.
- A Member may elect to save card information when providing Support and may use the saved card information for subsequent Support. Card information can be managed and deleted from the Member's account page.
- A Supporter may freely choose the amount of Support Funds, subject to a minimum of JPY 500. There is no maximum, except where restrictions apply under rules of the Company or a payment provider, applicable laws, or similar requirements.
- In addition to the Support amount, the following fee is added to the amount charged to the Supporter, subject to the amounts displayed on the Service:
- System usage fee: 5% of the Support amount.
- Rounding and the actual amount charged under the preceding paragraph may vary depending on processing by the Company or the payment provider.
- As a general rule, Support cannot be canceled after payment is completed. This does not apply if an All or Nothing Project fails to reach its Target Amount or if the Organizer or the Company cancels the Project.
Article 9-2 (Advertising-Space Purchases, Payment, Cancellation, and Refunds)
- Members may directly purchase Advertising Space listed on the Service. Membership registration is required.
- An Advertising-Space Purchaser must pay the Advertising-Space Purchase Price by a payment method designated by the Company (credit card or bank transfer). Stripe Payments is used for both methods.
- The Advertising-Space Purchase Price consists of:
- the pre-tax price of the Advertising Space;
- consumption tax (10% of the pre-tax price, rounded up); and
- a system usage fee (5% of the pre-tax price, rounded up).
- Payment processing at the time of application differs by payment method. For credit card payments, an authorization hold is placed at application and the charge is captured when the purchase is confirmed. For bank transfers, the purchaser makes the transfer after applying and payment is confirmed when the funds are received. In either case, after payment is confirmed, the Company checks availability, and the purchase becomes final only when the Advertising Space has been secured.
- If the Advertising Space cannot be secured, the Company will refund the full Advertising-Space Purchase Price, including the system usage fee.
- After a purchase is confirmed, it cannot be canceled for the Advertising-Space Purchaser's convenience. The Company will, however, issue a full refund in either of the following circumstances:
- the Company cancels the advertisement due to unavoidable circumstances, such as failure to obtain permission from the relevant agency or rights holder; or
- the Company otherwise determines that a refund is appropriate.
- The timing and method of a refund may vary depending on the payment method, payment provider, and related circumstances.
- After purchase confirmation, the Company will separately provide details regarding the publication schedule, design submission, and other requirements.
Article 10 (Advertising Fees)
No platform fee is charged when a Project is established.
Article 11 (Refunds)
- If an All or Nothing Project does not reach its Target Amount and is not established, the Support Funds will be refunded to Supporters. The system usage fee is non-refundable.
- If the Company cancels a Project because permission from the relevant agency or rights holder cannot be obtained or due to other unavoidable circumstances, the Company will refund the Support Funds and system usage fee in full by the method prescribed by the Company.
- The timing and method of a refund may vary depending on the payment method, payment provider, and related circumstances.
Article 12 (Public Information and User Content)
- Project pages and other areas of the Service may display a Supporter's Username or guest name ("Anonymous" if anonymity is selected), profile image, Support amount, support comments, Supporter rankings, and similar information. Member profile information, including the Username, profile image, and profile text, may also be viewable by other Users on a public profile page. Users agree that the Company may display such information to the extent necessary to operate the Service.
- Users warrant that support comments, images, profile text, and other submitted content ("User Content") do not infringe third-party rights and do not violate laws, public order and morals, or these Terms.
- If the Company determines that User Content is inappropriate or violates these Terms, the Company may, without prior notice, hide or delete it, suspend its publication, or take any other necessary action.
Article 13 (Prohibited Conduct)
Users must not engage in any of the following conduct:
- conduct that violates laws, public order and morals, or these Terms;
- conduct that infringes a third party's intellectual property rights, portrait rights, or publicity rights;
- posting false information or misappropriating Support Funds;
- planning or implementing an advertisement without permission from the relevant agency or other rights holder; or
- interfering with operation of the Service.
Article 14 (Disclaimers)
- The Company assumes no liability for disputes between an Organizer and a Supporter or between a User and a third party, including an agency or advertising company.
- The Company does not guarantee the success of any Project or the effectiveness of, or absence of problems relating to, any advertisement implemented through the Service.
Article 15 (Intellectual Property Rights and Warranty of Rights)
- Users warrant that content submitted to the Service does not infringe the rights of any third party.
- If a dispute concerning infringement arises, the relevant User must resolve it at the User's own expense and responsibility.
Article 15-2 (Damages)
If a User breaches these Terms or causes damage to the Company or a third party in connection with use of the Service, the User must, at the User's own expense and responsibility, compensate the Company or third party for all resulting damage, including attorneys' fees.
Article 16 (Amendment of the Terms)
The Company may amend these Terms. When doing so, the Company will specify the effective date and provide advance notice on the website or by another appropriate method.
Article 17 (Exclusion of Anti-Social Forces)
- Users represent and warrant that they are not members of or otherwise affiliated with anti-social forces.
- If a breach is discovered, the Company may immediately suspend use of the Service and cancel the User's registration.
Article 18 (Notices)
- Users acknowledge that information concerning the Service, system-maintenance announcements, and other communications or notices from the Company may be delivered by email or by another method prescribed by the Company.
- A communication or notice from the Company is deemed to have reached the User at the time it would ordinarily have arrived after being sent to the contact information provided by the User to the Company.
Article 19 (Governing Law and Jurisdiction)
These Terms are governed by the laws of Japan. Any dispute is subject to the exclusive agreed jurisdiction of the court having jurisdiction over the location of the Company's head office.
