Fan Ads Terms of Service

This is a reference translation of the Japanese original. In the event of any discrepancy, the Japanese version prevails.
Article 1 (Application)
- These Terms of Service (the "Terms") set out the conditions for using "Fan Ads" (the "Service"), operated by Curio Inc. (the "Company").
- All users of the Service (each a "User") are deemed to have agreed to these Terms.
- These Terms apply to all relations between Users and the Company concerning use of the Service.
- Handling of personal information is governed by the Company's separate Privacy Policy in addition to these Terms.
Article 2 (Definitions)
The terms used in these Terms are defined as follows.
- "Service" means the fan support advertising platform "Fan Ads" operated by the Company. The Service provides two functions: ad space purchase and crowdfunding.
- "User" means any person who uses the Service, including both those who view projects without registering and those who register an account.
- "Member" means a User who has registered an account with the Service.
- "Organizer" means a Member who creates a project on the Service and solicits support.
- "Supporter" means a User (a Member or an unregistered guest) who provides support to a project on the Service.
- "Project" means a fan support advertising plan created by an Organizer on the Service and its associated fundraising activity.
- "Support Payment" means money paid by a Supporter to a Project.
- "Target Amount" means the fundraising goal set by the Organizer for a Project.
- "Username" means the publicly displayed name set by a Member on the Service.
- "Ad Space" means an advertising placement slot listed on the Service that can be purchased individually.
- "Ad Space Buyer" means a Member who purchases an Ad Space on the Service.
- "Ad Space Price" means the money paid by an Ad Space Buyer for the purchase of an Ad Space (the total of the pre-tax price of the Ad Space, consumption tax, and the system usage fee).
Article 3 (Account Registration)
- Account registration is required to create a Project, post support comments, add Projects to favorites, and provide support as a Member. Viewing Projects as a guest and providing guest support are possible without registration.
- Registration requires an email address, a password, and a Username. Members shall enter this information accurately.
- The Company may refuse registration where the registration details are false or where the applicant has previously breached these Terms.
- Members may update their registration details (Username, profile, icon image, etc.) through the profile editing function. Changes to the email address and password shall follow the method prescribed by the Company.
Article 4 (Account Management)
- Members shall manage their account information at their own responsibility.
- The Company bears no liability for damage arising from unauthorized use by a third party.
Article 5 (Withdrawal)
- A Member may apply to withdraw through the Company's designated contact form only if the Member has no Project in progress as an Organizer or Supporter and no Ad Space purchase in progress.
- Upon receiving such an application, the Company shall delete the Member's account in accordance with its prescribed procedure.
- After withdrawal, the Member can no longer log in or use Member functions. However, support records and public information for previously supported Projects (Username, support amount, support comments, etc.) will continue to be displayed on the Project pages.
- Even after account deletion, transaction records are retained for a certain period based on the Company's record-keeping obligations and applicable law.
Article 6 (Content of the Service and the Company's Role)
- The Service is a fan support advertising platform providing two functions, "ad space purchase" and "crowdfunding", enabling fans to run support advertising for artists and others.
- The Company acts as an intermediary between Organizers and Supporters and does not guarantee the success of a Project or the quality, content, or legality of the advertising carried out.
- For ad space purchases, the Company provides the Ad Space to the Member as the seller. The Company does not, however, guarantee the content, quality, or effectiveness of the advertising.
Article 6-2 (Suspension and Modification of the Service)
- The Company may suspend all or part of the Service without prior notice in the following cases:
- (1) When carrying out system maintenance, inspection, or repair
- (2) When provision of the Service becomes difficult due to force majeure such as a natural disaster
- (3) In any other case the Company deems necessary
- The Company may change, add to, or discontinue the content of the Service. For material changes, the Company will endeavor to give prior notice.
- The Company bears no liability for damage arising from suspension or modification of the Service under the preceding paragraphs.
Article 7 (Project Types and Receipt of Support Payments)
Projects on the Service are of the following two types.
- All or Nothing: the Project is established only if the Target Amount is reached within the funding period.
- All In: the Project is carried out regardless of whether the Target Amount is reached (selectable only where permission from the agency has already been obtained).
The Organizer agrees that the Company shall receive and hold the Support Payments made by Supporters. Once the Company has received a Support Payment, the Supporter's payment obligation to the Organizer is extinguished.
Support Payments are applied to advertising placement costs and other expenses necessary to carry out the Project, and are paid and settled by the method determined by the Company. Organizers and Supporters acknowledge in advance that no bank transfer or other remittance to the Organizer may occur.
Article 8 (Creating a Project)
- When creating a Project, the Organizer shall accurately enter and disclose the following:
- (1) Project title, project description, and plan details
- (2) Target Amount and funding end date
- (3) Project type (All or Nothing, or All In)
- (4) Whether a designer is involved, and the status of agency permission
- (5) Project image (optional)
- The Organizer may commission design production or image creation from the Company or a third party designated by the Company.
- Once a Project has been created, it cannot be cancelled at the Organizer's request.
- Where the Company determines that the content of a Project or its posted material is inappropriate, violates laws, public order and morals, or these Terms, or infringes or may infringe the rights of a third party, the Company may suspend publication of the Project, request corrections, delete it, or take any other necessary measure.
- Where a Project is established (the Target Amount is reached for an All or Nothing project, or the funding period ends for an All In project), the Organizer shall respond in good faith to communications from the Company by email or otherwise, shall not neglect communications regarding the Project's progress, and shall be obliged to carry out the Project.
- If the Organizer breaches the obligation in the preceding paragraph and cannot be reached for one week or more despite the Company's reasonable attempts to make contact, the Company may issue a final notice to the Organizer and, if there is still no response, transfer authority over the Project to the Company without the Organizer's consent and proceed with the Project at its own discretion. In such a case, the Organizer shall raise no objection to the Company's decisions and handling.
Article 9 (Support, Payment, and Cancellation)
- Supporters may provide support either as a Member or as a guest user. For guest support, the Supporter enters an email address and name, and may also choose to provide support anonymously.
- Supporters shall pay Support Payments by the payment method designated by the Company (credit card payment).
- Payments on the Service use Stripe Payments ("Stripe"). Supporters shall make payment in accordance with the conditions set by Stripe and the procedures indicated by the Company.
- Members may choose to save their card details when providing support and use the saved card for subsequent support. Saved card details can be managed and deleted from My Page.
- Supporters may freely set the support amount, with a minimum of 500 JPY. There is no upper limit (subject to any restrictions imposed by the Company, the payment provider, or applicable law).
- The amount charged to the Supporter includes, in addition to the support amount, the following (displayed amounts follow the indications on the Service):
- System usage fee: support amount x 5%
- Rounding in the above calculation and the actual amount charged may vary depending on processing by the Company or the payment provider.
- As a rule, Supporters may not cancel support after payment is completed. This does not apply where an All or Nothing project fails to be established, or where the Organizer or the Company cancels the Project.
Article 9-2 (Purchase, Payment, Cancellation, and Refund of Ad Spaces)
- Members may purchase Ad Spaces listed on the Service directly. Account registration is required to purchase an Ad Space.
- Ad Space Buyers shall pay the Ad Space Price by the payment method designated by the Company (credit card payment or bank transfer). Both use Stripe Payments.
- The Ad Space Price payable by the Ad Space Buyer consists of the following:
- Pre-tax price of the Ad Space
- Consumption tax (pre-tax price x 10%, rounded up)
- System usage fee (pre-tax price x 5%, rounded up)
- Payment processing at the time of application differs by payment method. For credit card payment, an authorization (hold) is placed at the time of application and the charge is captured when the purchase is confirmed. For bank transfer, the buyer makes the transfer after applying and payment is finalized upon confirmation of receipt. In either case, the Company checks availability of the Ad Space after payment is finalized, and the purchase is formally confirmed once availability is secured.
- If availability cannot be secured, the Company will refund the full Ad Space Price (including the system usage fee) to the Ad Space Buyer.
- After the purchase is confirmed, it cannot be cancelled at the Ad Space Buyer's request. The Company will, however, issue a full refund in the following cases:
- Where the Company cancels the advertising placement for unavoidable reasons, such as permission not being granted by the agency or rights holder
- Any other case in which the Company determines a refund to be appropriate
- The timing and method of a refund may vary depending on the payment method and the payment provider.
- The placement schedule, design submission, and other details after purchase confirmation will be advised separately by the Company.
Article 10 (Advertising Commission)
There is no platform commission when a Project is established.
Article 11 (Refunds)
- If an All or Nothing project does not reach its Target Amount and is not established, Support Payments are refunded to Supporters. The system usage fee is not refunded.
- If the Company cancels a Project for unavoidable reasons, such as permission not being granted by the agency or rights holder, the Company will refund the full Support Payment and system usage fee to Supporters by the method it prescribes.
- The timing and method of a refund may vary depending on the payment method and the payment provider.
Article 12 (Public Information and User Content)
- On Project pages and elsewhere on the Service, a Supporter's Username or a guest Supporter's name (displayed as "Anonymous" if anonymity is selected), icon image, support amount, support comment, supporter rankings, and similar information may be displayed. A Member's profile information (Username, icon image, profile text, etc.) is also viewable by other Users on the public profile page. Users consent to the Company displaying such information to the extent necessary to operate the Service.
- Users warrant that support comments, images, profile text, and other posted content ("User Content") do not infringe the rights of third parties and do not violate laws, public order and morals, or these Terms.
- Where the Company determines that User Content is inappropriate or breaches these Terms, it may hide, delete, suspend publication of, or take any other necessary measure regarding that content without prior notice.
Article 13 (Prohibited Conduct)
Users shall not engage in the following conduct.
- Conduct that violates laws, public order and morals, or these Terms.
- Conduct that infringes the intellectual property rights, portrait rights, or publicity rights of third parties.
- Posting false information, or improperly diverting Support Payments.
- Planning or carrying out advertising without the permission of the agency or other rights holder.
- Conduct that interferes with the operation of the Service.
Article 14 (Disclaimer)
- The Company bears no liability for disputes arising between Organizers and Supporters, or between Users and third parties (agencies, advertising companies, etc.).
- The Company does not guarantee the success of a Project, or the effectiveness of, or absence of problems with, the advertising carried out.
Article 15 (Intellectual Property and Warranty of Rights)
- Users warrant that content they post to the Service does not infringe the rights of third parties.
- Should a dispute concerning infringement of rights arise, the User concerned shall resolve it at their own cost and responsibility.
Article 15-2 (Damages)
If a User breaches these Terms or causes damage to the Company or a third party in connection with use of the Service, that User shall compensate all damage caused to the Company or the third party (including attorneys' fees) at their own cost and responsibility.
Article 16 (Changes to the Terms)
The Company may amend these Terms. When doing so, the Company will set an effective date and give prior notice on the site or by other means.
Article 17 (Exclusion of Antisocial Forces)
- Users represent and warrant that they are not antisocial forces.
- If a breach comes to light, the Company may immediately suspend use and delete the registration.
Article 18 (Notices)
- Users agree that information about the Service, notices of system maintenance, and other communications or notices from the Company will be delivered by email or another method determined by the Company.
- Communications or notices from the Company to a User are deemed to have arrived when they would normally reach the User, upon being sent to the contact details the User provided to the Company.
Article 19 (Governing Law and Jurisdiction)
These Terms are governed by the laws of Japan. Any dispute shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Company's head office.
